Statement of Rationale for Judgment of Compliance:

The chief executive officer of the University of Memphis is President Shirley C. Raines. [1] President Raines is responsible for the operation and management of the university and reports to the chancellor. The presidents in the Tennessee Board of Regents (TBR) System report annually to the Board on the work and condition of the institutions under its guidance. [2]

With the exception of the single faculty regent, employees of public institutions of higher learning may not serve as public members of TBR. Presidents in the TBR system are not members of the TBR. [3] The chair of TBR is elected each year from its membership. [4] President Raines is neither a member nor an officer of TBR. [5]
