American Marketing Association Collegiate Chapter Constitution


Preamble

Whereas we believe that a group of college students interested in the field of marketing should organize for mutual benefit, we hereby establish a collegiate chapter of the American Marketing Association which shall be known as the American Marketing Association Student Collegiate Chapter at the University of Memphis, Department of Marketing and Supply Chain Management in the Fogelman College of Business & Economic in Memphis, TN.

Article I. Purpose

The items below are considered to be a part of the common goals for AMA chapters, and must be included in the constitution

SECTION 1. The purpose of the University of Memphis Collegiate Student Chapter of the American Marketing Association shall be:

The objective of SMA will be to engage students in various functions and activities that will demonstrate and improve their marketing ability, network with industry marketing professionals, and uphold the standards and ethics of Marketing. 

  1. To foster scientific study and research in the field of marketing
  2. To foster an environment to develop leadership skills in the field of marketing
  3. To develop sound thinking in marketing theory and more exact knowledge and definition of marketing principles
  4. To improve the methods and techniques of marketing research
  5. To develop better public understanding and appreciation of marketing problems
  6. To activate classroom knowledge and theory into Experiential Learning
  7. To promote friendly relations between students, faculty, and the business community
  8. To encourage and uphold sound, honest practices, and to keep marketing operations on a high ethical plane
  9. To exercise marketing skills for service and social impact

ARTICLE II. MEMBERSHIP

The items below are considered to be AMA policy, cannot be altered, and must be included in the constitution.

SECTION 1. Membership shall be open to students of any major who are interested in marketing and any other individuals who are approved by the board of directors.

SECTION 2. Any individual approved for chapter membership must become a member of the American Marketing Association national organization.

SECTION 3. Any individual found to be in violation of the American Marketing Association national organization's Statement of Ethics (found online at ama.org) or the individual's University or Business School's Statement of Ethics, may be removed upon a majority vote of the board of directors, taken at an official meeting called for such purpose.

ARTICLE III. BOARD OF DIRECTORS

SECTION 1. The minimum required board of directors shall be the faculty advisor, president, and president-elect.

1.1 Additional recommend board positions are vice president of communications, vice president of finance, vice president of programming, vice president of membership, and vice president of advertising and promotions, vice president of website, vice president of social media, as well as any other officers deemed necessary by the collegiate chapter.

SECTION 2. The board of directors and the chapter officers shall be elected or appointed by May 1 of each year to serve the following year. The faculty advisor shall be chosen as provided in Article V.

SECTION 3. A call for nominations shall be made in writing at least five days in advance of an election. Nominations for officers shall be collected prior to the day the election meeting is held. All elected officers shall be chosen by secret ballot from those present at the meeting. The candidates receiving a plurality of all votes cast shall be elected.

SECTION 4. Any board member or other elected officer who fails to fulfill the terms of office listed in Article IV, or to serve in an agreed-upon official capacity may be removed. Such action shall be effective only upon a majority vote of the board of directors taken at an official meeting called for such purpose.

ARTICLE IV. DUTIES OF THE BOARD OF DIRECTORS

SECTION 1. The president's duties shall be to preside at all meetings, to appoint all special committees, and to be the chairperson of the board of directors. The president shall also receive and share information from special chapter leader communications from AMA National. The president is responsible for all chapter reporting to AMA National, including the reporting of next year's required officers, and the minimum required reporting.

SECTION 2. The president-elect shall perform the duties of the president in the president's absence. In the event of vacancy of the presidency, the president-elect shall succeed to the presidency and complete the remainder of the term. The president-elect shall be responsible for duties as assigned by the president.

SECTION 3. The vice president of communications shall keep all records, except financial, handle written correspondence, perform such other related duties as the president delegates, and prepare a written report of actions taken at each meeting, which will be on file at the next meeting. The vice president of communications shall provide the president-elect and faculty advisor with all written records and account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier.

SECTION 4. The vice president of finance shall collect all collegiate chapter funds and deposit them in an account on behalf of the collegiate chapter of the American Marketing Association. He/she shall collect and disburse funds in accordance with his/her University/College policy. He/she shall work closely with the vice president of membership in collecting the AMA national dues, He/she will be responsible for making all necessary expenditures when authorized by the president and faculty advisor, keeping financial records, and submitting a written financial report to the collegiate chapter at the last regular meeting of each semester. The vice president of finance shall provide the chapter president and faculty advisor with information in a timely manner upon request. He/she will perform such related duties as the president shall delegate. The vice president of finance shall provide the president-elect and faculty advisor with all account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier.

SECTION 5. The vice president of membership shall provide an AMA student membership application to all potential student members. He/she shall check each application for accuracy, making sure all information requested is given and keep accurate membership records, and a chapter roster. In accordance with the chapter's determined goals, he/she shall conduct an active and aggressive membership campaign. The vice president of membership should remind members to renew AMA national membership in the month of their membership expiration. The vice president of membership shall be responsible for duties as assigned by the president. The vice president of membership shall provide the president-elect and faculty advisor with a current chapter roster upon graduation, or before May 1; whichever is earlier.

SECTION 6. The vice president of programs has responsibility for developing, recommending, and implementing programs for the collegiate chapter. Additional chairpersons may be appointed by the president to handle special programs such as projects and seminars. The vice president of programs shall be responsible for duties as assigned by the president. The vice president of programs shall provide the president-elect and faculty advisor with all written records and account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier.

SECTION 7. The vice president of advertising and promotion is primarily responsible for promoting the events and affairs of the collegiate chapter to the school, local AMA professional chapter, and local community. The vice president of advertising and promotion shall be responsible for duties as assigned by the president. The vice president of advertising and promotion shall provide the president-elect and faculty advisor with all written records and account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier.

SECTION 8. The vice president of website is primarily responsible for maintaining the chapter website, keeping it up to date, and making sure it links to the AMA National website, and aligns with the AMA National Brand. The vice president of website shall provide the president with login and password information in a timely manner, upon request throughout the year. The vice president of website shall provide the president-elect and faculty advisor with all account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier.

SECTION 9. The vice president of social media is primarily responsible for promoting chapter activities and engaging members and non-members through the chapter's social media channels. The vice president of social media should engage the local business community, with chapter news, projects, events, and post and speak on behalf of the chapter. The vice president of social media shall provide the president with login and password information in a timely manner, upon request. The vice president of website shall provide the president-elect and faculty advisor with all account information, including any necessary login and passwords, upon graduation, or before May 1; whichever is earlier

ARTICLE V. FACULTY ADVISOR

The items below are considered to be AMA policy, cannot be altered, and must be included in the constitution.

SECTION 1. The Marketing or Business School administration of the college/university shall appoint a faculty advisor who will be the personal representative of the administration. Faculty advisors must be professional members of the American Marketing Association. In schools where the chapter may select its own advisor, this should be done in conjunction with and approved by the Marketing or Business School administration of the college/university.

SECTION 2. The advisor will serve for at least one full school year, shall attend the meetings of the collegiate chapter, and shall aid and advise the group on matters under consideration.

SECTION 3. The faculty advisor shall be responsible for the continuity of records and other property of the collegiate chapter.

SECTION 4. Additional faculty members may be asked to join the appointed faculty advisor whenever the tasks involved make it
feasible to have additional faculty representation. (However, only one member of the faculty may vote as a board member as indicated in Section 1, that person being the designated faculty advisor.)

SECTION 5. The faculty advisor shall be the official contact with the American Marketing Association National office. The faculty
advisor should be subscribed to important AMA email communications, and be aware of AMA National programming available to the chapter, and forward information to chapter officers or chapter members.

SECTION 6. The faculty advisor shall insure that all chapter members are also becoming members of the American Marketing
Association National office.

SECTION 7. The faculty advisor shall be aware of requirements, and insure that the minimum reporting requirements to remain
affiliated with AMA are being met each year.

SECTION 8. The faculty advisor shall manage all succession planning, insuring elections take place, being made aware of transfer of knowledge, documents, and logins and passwords, to make sure historical information is being handed over, and kept on file from year to year.

ARTICLE VII. RECORDS

SECTION 1. The records of the University of Memphis Collegiate Student Chapter of the American Marketing Association shall consist of a minutes book, membership records, and financial records, as well as any other such records as the chapter deems necessary.

SECTION 2. The faculty records shall keep a master copy of important records for each office at the end of each school year, separate from the records that each officer is transferring to the president-elect.

ARTICLE VIII. BYLAWS AND AMENDMENT

SECTION 1. The constitution, together with the bylaws, shall constitute the operating basis of the chapter.

SECTION 2. The constitution may be amended by a majority vote of the members present at a meeting, with proper notification of no less than five days having first been given to the entire membership, with notice of the proposed changes.

SECTION 3. Bylaws may be added or amended by a majority vote of the members present, with proper notification of no less than five days having first been given to the entire membership.

BYLAWS OF THE UNIVERSITY OF MEMPHIS COLLEGIATE STUDENT CHAPTER OF THE AMERICAN MARKETING ASSOCIATION

NUMBER 1. The collegiate chapter will be responsible for renewing its charter with the American Marketing Association each year by maintaining and reporting the following:

These items are considered to be AMA policy and must be included in the constitution and followed by the collegiate chapter.

  • 10 AMA student member minimum (Paid AMA national members)
  • Online Officer Report Form (due May 1 for following school year)
  • Chapter Plan (October)
  • Annual Report (February)
  • Updates of the chapter constitution
  • Other items as requested by the Association

NUMBER 2. Separate from the required AMA National student member dues, Optional Collegiate Chapter's dues shall be $ -0- per year, paid to the vice president of finance, whose responsibility it will be to hold the collegiate chapter dues, and send the accurate amount of National dues to AMA National office with a correlating current list of renewing members or new membership applications. Members may also join AMA National online, and separately pay chapter dues directly to the
chapter.

NUMBER 3. A copy of the constitution of the University of Memphis Collegiate Student Chapter of the American Marketing Association shall be provided for each member of the board of directors. The constitution will be reviewed annually to ensure that it is in keeping with the needs and activities of the collegiate chapter.

NUMBER 4. The number, location and times of meetings shall be determined by the board of directors. Notice of all such meetings shall be posted or sent in writing to all members not less than five days in advance of the date set for the meeting.
